La primera ser\u00eda RetailCo, una compa\u00f1\u00eda conjunta que agrupar\u00eda las estaciones de servicio de ambas y concentrar\u00eda la venta minorista de combustibles, la recarga el\u00e9ctrica y la oferta de conveniencia, manteniendo las marcas Moeve, Galp y Ballenoil.<\/strong><\/p>\n<p><span style=\"font-weight: 400;\">Seg\u00fan el planteamiento, RetailCo sumar\u00eda una red de alrededor de <\/span><b>3.500 puntos<\/b><span style=\"font-weight: 400;\"> en Espa\u00f1a y Portugal, con el objetivo de acelerar inversiones en infraestructura de recarga y en nuevas soluciones de movilidad. En t\u00e9rminos de gobernanza, el control estar\u00eda compartido entre los actuales accionistas de Moeve y Galp.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">La segunda sociedad ser\u00eda <\/span><b>IndustrialCo<\/b><span style=\"font-weight: 400;\">, enfocada en clientes empresariales y apoyada en refino, qu\u00edmica y trading, adem\u00e1s de combustibles bajos en carbono como biocombustibles e hidr\u00f3geno. En esta pata industrial, los accionistas de Moeve, <\/span><b>Mubadala y Carlyle<\/b><span style=\"font-weight: 400;\">, tendr\u00edan el control, mientras que Galp conservar\u00eda una <\/span><b>participaci\u00f3n superior al 20%<\/b><span style=\"font-weight: 400;\">.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">\u00a0La operaci\u00f3n, tal y como la describen las compa\u00f1\u00edas, excluir\u00eda otros negocios de Galp como Upstream, Renovables y el suministro y trading de petr\u00f3leo, gas y energ\u00eda, y Galp mantendr\u00eda su intenci\u00f3n de seguir cotizando en la bolsa portuguesa con los activos que conserve directamente.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Hasta un eventual cierre, las empresas subrayan que seguir\u00e1n operando de forma independiente y que cualquier acuerdo definitivo depender\u00e1 de contratos vinculantes, aprobaciones corporativas y autorizaciones regulatorias. Tambi\u00e9n apuntan a un posible acuerdo para <\/span><b>mediados de 2026<\/b><span style=\"font-weight: 400;\"> y a que, en la fase actual, no prev\u00e9n impacto en operaciones, empleados ni
